HEUMIX — B2B SaaS TERMS OF SALE AND USE
Version: 2.1 — 21 October 2026
For professional customers only
1. Publisher and service provider
The Heumix service is provided by HEUMIX, a French single-shareholder simplified joint-stock company (SASU) with share capital of EUR 1.00, registered with the Paris Trade and Companies Register under number 108 744 889, whose registered office is at 47 rue Vivienne, 75002 Paris, France.

2. Purpose
These Terms govern the supply of the Heumix SaaS software to real estate professionals.
Depending on the subscribed offer and the functions expressly activated, Heumix supports users and access permissions, contacts and prospects, search criteria, properties, mandates, deals, conversations, documents, calendars, tasks, proposals and viewings. It also provides assistance with buyer-to-property matching, search, deal context, daily priorities, data migration, client sharing and team management. Email and calendar connections are subject to Article 10.
Only the features actually available in the Customer’s organisation and confirmed in the order form, special terms or applicable documentation form part of the Service.
3. Professional customer
The Service is reserved for persons acting for the purposes of their professional activity. The Customer is the independent professional, agency or organisation identified in the order form. Where an organisation authorises several users, it is responsible for their compliance with the contract and for managing their permissions.
4. Contract documents
The contract consists of the following documents, in descending order of priority:
- the order form, quotation or special terms;
- these Terms;
- the Heumix DPA;
- the subprocessor list;
- the security/TOMs schedule where supplied or incorporated;
- any schedule expressly identified as contractual.
A sales presentation, demonstration, roadmap or hidden feature creates no commitment unless expressly incorporated into the contract.
5. Formation of the contract
The contract is formed when the Customer accepts the order form or special terms and the applicable documents. Heumix retains durable evidence of the signatory’s identity, the acceptance date and the versions accepted.
No Customer is activated before accepting the DPA where Heumix processes personal data on the Customer’s behalf.
6. Access to the Service
Heumix grants the Customer a personal, non-exclusive and non-transferable right to use the Service for the term of the contract. The Customer assigns named accounts, manages roles, revokes access that is no longer required and protects login credentials.
7. Security and suspension
Heumix may immediately suspend all or part of an access where reasonably necessary to contain an incident, prevent unauthorised access, prevent access to another organisation’s data, stop manifestly unlawful use or comply with a mandatory legal or service-provider requirement.
8. Customer Data
The Customer retains its rights in the data, documents and content it enters, imports, synchronises or has processed through Heumix.
Customer Data also includes, where produced for the Customer’s business purposes: deal status information, sources, contradictions, confirmation levels, dates, search results, analyses, priorities, migration reports and document classifications.
Heumix retains its rights in its software, architecture, generic models, methods, interface and know-how. Heumix does not sell Customer Data or turn it into a separate commercial database.
9. Personal data
For business data concerning the Customer’s prospects, customers, contacts, sellers, buyers, owners, tenants, correspondents or staff:
- the Customer acts as Controller;
- Heumix acts as Processor.
The DPA forms part of the contract. Heumix acts separately as Controller for its own purposes, including account, contract, security, support, billing and Heumix prospecting.
The Customer remains responsible for its purposes, legal bases, information notices, data-subject rights, imports, connections and professional retention obligations.
10. Email and calendars
Where the function is available, the Customer may voluntarily connect Gmail, Outlook, Google Calendar or Microsoft Calendar.
The Customer warrants that it is authorised to connect the account and process the relevant data.
A Google connection is included in the commercial scope only where expressly confirmed at go-live and where the Google requirements applicable to the Heumix project are satisfied.
Microsoft
Microsoft connections are used only within the delegated permissions actually enabled and authorised.
Disconnecting a source service stops new access but does not automatically delete copies already imported.
11. Artificial intelligence
Certain functions use AI to assist with extraction, classification, summarisation, qualification, reasoning or recommendation.
Heumix distinguishes facts from inferences, unknown information from missing or empty information, and outdated information from current information. A contradiction is not resolved through an automatic merge. An AI suggestion does not amount to a professional decision.
AI outputs may be inaccurate. The Customer must verify information before any decision with a legal, financial, contractual, regulatory or otherwise significant effect.
Heumix does not guarantee absolute accuracy, automatic legal compliance or commercial results.
12. Information search
Search returns information accessible to the user according to the state known at the time of the request. Results may be incomplete, contradictory or outdated.
This function is not a certified legal search engine, a regulatory audit or a guarantee of completeness.
13. Data migration
Migration tools may preview an expected result before import, compare it with the actual result, flag anomalies or transformations and produce a verification report.
These records document the migration process. They do not certify the accuracy, completeness or lawfulness of source data.
The Customer warrants that it is authorised to export and transmit data from its previous tool.
14. Documents and information extraction
The original file remains the documentary reference. OCR, extraction and classification are assistance functions.
Text extracted through optical character recognition (OCR) does not replace the original document. The presence of a document does not establish its legal validity, and an AI classification is not a legal assessment.
The Customer verifies material information before any binding use.
15. Mandates
Mandates and related documents are supplied by the Customer. The Mandates module is a CRM tracking tool.
Unless special terms apply following a dedicated certification process, Heumix:
- does not supply a mandate template presented as legally validated;
- is not the statutory mandate register;
- does not validate the compliance of a mandate;
- does not by itself prove signature;
- does not guarantee entitlement to commission.
The Customer remains responsible for the validity, numbering, statutory registration, signature and retention of its mandates.
16. AML/CFT and Tracfin
Functions for collecting, tracking, reminding, displaying status or logging information relating to vigilance obligations are assistance tools only.
Heumix does not certify AML/CFT compliance, decide alone whether to accept or refuse a business relationship, or automatically submit a Tracfin report.
17. Client sharing spaces
The Customer may make selected information available to an external recipient.
The Customer decides what to publish, verifies the recipient, remains responsible for the lawfulness of the sharing, avoids unnecessary third-party data and revokes access when no longer required.
Corrections proposed by a recipient do not automatically become reference facts.
18. Agency and team management
Agency and team management functions are intended for the proportionate organisation of professional activity.
The Customer as employer remains responsible for the purpose, staff information, access limitation, retention periods and any required staff-representation consultation.
Heumix must not be used as a permanent, secret or disproportionate employee-monitoring tool.
19. Modules and scope of the offer
The order form, quotation or special terms specify the market, plan, modules and usage allowances subscribed to.
For the France offer, Market Intelligence, Electronic Signature and Listing Syndication may be added individually to Core or included together in Complete, according to the accepted offer. A subscribed module forms part of the Service and is not excluded by this clause. Electronic signature, market intelligence, AI and listing syndication are subject to the plan’s usage allowances; capacity extensions may be purchased as needed. Subscriptions to paid property portals are not included in the Heumix subscription.
For the UAE offer, the included functions and third-party services to be contracted separately are those stated in the accepted commercial proposal. The France offer does not determine the terms of the UAE offer.
Unless expressly agreed separately, the Service does not include a Hoguet statutory register, automatic Tracfin reporting, automated AML/CFT compliance, inter-agency operation or specialised identity screening. Automated sending or calling through SMS or WhatsApp requires express activation; WhatsApp activation depends on an available certified connector.
References to the Hoguet Act and Tracfin concern activities to which those French rules apply. They do not validate compliance with local professional obligations in the United Arab Emirates.
20. Availability and maintenance
Heumix uses reasonable efforts to provide the Service reliably. No 100% availability is guaranteed.
Interruptions may occur for maintenance, security, an incident, service-provider unavailability, a third-party API change or force majeure.
Internal incident priorities do not create contractual response-time or availability commitments unless agreed separately in writing.
21. Support
Support: [email protected]. The Customer should not send passwords, API keys, tokens or unnecessary private content.
22. Prices
Applicable prices are those expressly accepted in the order form, quotation, special terms or pricing page incorporated into the contract. Unless otherwise stated, prices exclude taxes.
23. Invoicing and payment
Payment dates and methods are stated in the order form or invoice.
In the event of late payment, the following become payable automatically from the day after the due date:
- the penalties set out in the special terms or, failing that, the applicable ECB refinancing rate plus 10 percentage points, without falling below the statutory minimum;
- the statutory fixed recovery-cost indemnity of EUR 40;
- justified additional compensation where costs actually incurred exceed that amount.
France commercial terms
Public France prices are monthly reference prices excluding VAT. Billing is quarterly; commitment, instalments and renewal arrangements are specified in the order form. The annual offer includes one month free.
The founding offer is limited to the first 20 eligible subscriptions to Solo Complete or agency plans (Team, Business, Scale and Enterprise, in Core or Complete; Enterprise+ by quotation). Solo Core, with or without individual modules, is excluded. It provides 20% off the subscription while it remains active, with standard migration included within the agreed scope. Availability, the discount base, any combination with the annual offer and bespoke services are specified in the order form. These terms concern the France offer and do not change the UAE offer.
24. Term and renewal
The term, any commitment period and renewal are set out in the order form or special terms. No annual commitment or automatic renewal is binding unless clearly accepted.
25. Termination
The conditions and effective date of termination are those set out in the order form or special terms. Where a fixed term has been accepted, it applies until its end, subject to termination rights under the contract or applicable law.
Heumix may suspend or terminate according to the seriousness of a breach, including unlawful use, a security threat or persistent non-payment.
26. Exit, export and deletion
At the end of the contract:
- the exit/export period is stated in the order form; otherwise it is 15 calendar days;
- new synchronisations may be stopped;
- source services are disconnected;
- production data is targeted for deletion no later than 30 days after the end of the exit period, subject to legal obligations;
- backups expire according to their technical lifecycle.
Archiving data does not delete it.
Heumix may separately retain data strictly necessary for its legal obligations or the establishment, exercise or defence of legal claims.
27. Subprocessors and third-party services
The current list of subprocessors is made available to the Customer. Heumix may add or replace a subprocessor in accordance with the DPA.
Google and Microsoft services connected directly at the Customer’s initiative are treated as source services; the imported copy is then governed by the DPA.
28. Intellectual property
Heumix retains its rights in its code, architecture, interface, brand, documentation, methods, components, generic models and developments.
The Customer only receives the right of use granted for the contract term.
29. Feedback
Heumix may use the Customer’s general ideas to improve the Service without appropriating Customer Data or disclosing confidential information.
30. Confidentiality
Each party protects the other party’s confidential information and only makes it available to persons who need to know it.
31. Customer responsibility
The Customer is responsible in particular for the lawfulness of its processing, its real estate professional obligations, documents supplied, users, decisions taken, external recipients, staff information and human verification of AI results.
32. Heumix liability
Heumix is liable for direct, certain and foreseeable loss that is legally attributable to it.
To the extent permitted by law, indirect loss such as uncertain loss of opportunity or indirect loss of profit is excluded.
Unless mandatory law provides otherwise, Heumix’s aggregate contractual liability is limited to the amount excluding taxes actually paid by the Customer during the 12 months preceding the event giving rise to liability.
This limit does not apply where limitation is prohibited by law, including fraud, gross negligence, personal injury or where limitation would deprive an essential obligation of its substance.
It does not affect data-subject rights or supervisory-authority powers.
33. Force majeure
Neither party is liable for a failure prevented by an event meeting the requirements of Article 1218 of the French Civil Code.
34. Changes
Heumix may update these Terms to reflect a legal, security or material Service change. A material change is communicated within a reasonable period where possible.
35. Governing law
The contract is governed by French law. The parties seek an amicable solution before litigation where possible.
36. Jurisdiction
WHERE ALL PARTIES CONTRACTED AS TRADERS AND SUBJECT TO ARTICLE 48 OF THE FRENCH CODE OF CIVIL PROCEDURE, THE COURTS HAVING JURISDICTION IN PARIS HAVE EXCLUSIVE JURISDICTION OVER DISPUTES RELATING TO THE CONTRACT.
In other cases, ordinary jurisdiction rules apply.
37. Severability
The invalidity of one provision does not affect the remaining provisions where the contract can continue without it.
